Terms of Service

1. Parties

These Terms of Service ("Terms") constitute a binding agreement between:

• Bluecheck Gridbox LLP ("Bluecheck", "we", "us", "our") — a limited liability partnership registered in India, operating the Doer application at checkdoer.com; and
• The individual or organisation subscribing to or using the Doer application ("Client", "you", "your").

By registering for, accessing, or using Doer, you agree to be bound by these Terms. If you are entering into these Terms on behalf of an organisation, you confirm that you have authority to do so.

2. The services

Doer is a cloud-based meeting action tracking application that enables teams to convert meeting action points into owned, tracked tasks with mandatory reviewer sign-off. The application is accessed via web browser and is hosted on Google Cloud infrastructure in Mumbai, India.

Features include: Meeting Deck, task creation and assignment, real-time executive dashboard, PDF and Excel export, domain-level workspace security, and cross-device access.

We reserve the right to modify, update, or discontinue features of the service with reasonable notice to subscribers.

3. Account & access

Access to Doer is granted at the workspace level. Each workspace is associated with a verified email domain. Users must be authorised by a workspace Admin to join.

• You are responsible for maintaining the confidentiality of your account credentials.
• You must notify us immediately at support@checkdoer.com if you suspect any unauthorised access.
• Each user account must correspond to a real individual. Shared or automated accounts are not permitted.
• You are responsible for all activity that occurs under your account.

4. Subscription & payment

Plans

Doer is available on monthly and annual subscription plans. Current pricing is published at checkdoer.com/pricing. Prices are shown in INR, USD, GBP, and EUR depending on your region.

Billing

• Annual subscriptions are billed upfront for the full year at a discounted rate.
• Monthly subscriptions are billed at the start of each calendar month.
• Payment is processed via Razorpay (India) and Wise (international). Bluecheck does not store payment card details.

Free trial

We offer a 14-day free trial for new workspaces. No payment details are required to start a trial. At the end of the trial period, continued access requires a paid subscription.

Cancellation & refunds

• You may cancel your subscription at any time by emailing subscription@checkdoer.com.
• Monthly subscriptions: cancellation takes effect at the end of the current billing month. No partial refunds.
• Annual subscriptions: if you cancel within 14 days of the annual renewal date, you are entitled to a pro-rata refund for the unused months. Beyond 14 days, no refund is issued.
• We reserve the right to offer discretionary refunds in exceptional circumstances.

Price changes

We will give at least 30 days' notice of any price increases. Your subscription price will not change during a paid annual term.

5. Acceptable use

You agree not to use Doer to:

• Violate any applicable law or regulation;
• Upload, transmit, or store unlawful, harmful, defamatory, or infringing content;
• Attempt to gain unauthorised access to any other workspace, account, or system;
• Interfere with or disrupt the integrity or performance of the service;
• Reverse engineer, decompile, or attempt to extract the source code of the application;
• Use the service to process sensitive personal data (health, biometric, financial account data) beyond what is necessary for meeting and task management.

Violation of these terms may result in immediate suspension or termination of your account without refund.

6. Your data

Your data — including meeting records, task records, user profiles, and comments — remains your property at all times. Bluecheck processes your data solely to provide the Doer service and does not sell, share, or use your data for any other purpose.

On cancellation or termination, your data is retained for 90 days to allow export, then permanently deleted. You may request deletion at any time by emailing privacy@checkdoer.com.

7. Intellectual property

The Doer application, including its design, code, features, branding, and documentation, is the intellectual property of Bluecheck Gridbox LLP and is protected by applicable copyright and intellectual property law.

Your subscription grants you a limited, non-exclusive, non-transferable licence to use Doer for your internal business purposes during the subscription term. This licence does not include any right to sublicense, resell, or redistribute the application.

Content you create within Doer (meeting records, tasks, comments) remains your intellectual property.

8. Availability & support

We aim to maintain 99.5% uptime for the Doer application, excluding scheduled maintenance. Scheduled maintenance will be announced with at least 24 hours' notice where possible.

Technical support is available at support@checkdoer.com. We respond within one business day. Our team covers India (IST), Europe (CET), and the US (EST/PST).

We do not guarantee uninterrupted access and are not liable for disruptions caused by third-party infrastructure (including Google Cloud), internet outages, or events beyond our reasonable control.

9. Limitation of liability

To the fullest extent permitted by applicable law:

• Bluecheck's total aggregate liability to you for any claim arising under or in connection with these Terms shall not exceed the total subscription fees paid by you in the 12 months preceding the claim.
• Bluecheck shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunity.
• Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.

The service is provided "as is". We make no warranties, express or implied, regarding fitness for a particular purpose beyond what is described in our product documentation.

10. Termination

Either party may terminate the subscription at any time in accordance with Section 4 (Cancellation).

Bluecheck may suspend or terminate your account immediately and without notice if:

• You materially breach these Terms and fail to remedy the breach within 7 days of written notice;
• You engage in conduct that poses a security risk to the platform or other users;
• We are required to do so by applicable law or a competent authority.

On termination, your right to access Doer ceases immediately. Data retention and deletion follow the timeline set out in Section 6.

11. Changes to these terms

We may update these Terms from time to time. When we make material changes, we will notify you by email to the registered workspace Admin address at least 30 days before the changes take effect. Your continued use of Doer after that date constitutes acceptance of the updated Terms.

If you do not accept the updated Terms, you may cancel your subscription before the effective date and receive a pro-rata refund for any prepaid period.

12. Governing law & disputes

These Terms are governed by the laws of India. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Bangalore, Karnataka, India.

For EU and UK clients: this governing law clause does not limit your rights under mandatory consumer or data protection laws applicable in your jurisdiction, including EU GDPR and UK GDPR.

We encourage you to contact us first to resolve any dispute informally before initiating formal proceedings.
